The CONTEXT


Trade secrets play a major role in protecting returns from innovation. A recent EUIPO study confirms their widespread use by EU companies in most economic sectors, with a majority of businesses favouring trade secrets over the use of patents.

At the same time, most companies lack a robust trade secret management and protection strategy with only very few having inventories of their trade secrets. This must change.

With the Trade Secret Directive (n°2016/943) soon to be transposed into EU national laws (by June 9, 2018) the rights of trade secret holders to take action against unlawful acquisition, use and disclosure will be considerably reinforced.

Concurrently, a “reasonable steps” requirement is established: to benefit from the strengthened trade secret protection regime, businesses will need to prove that they have actively taken organisational, technical and legal measures to keep their commercially valuable information secret.

Practical consequences are important and this seminar will introduce the audience to the measures a company must take to benefit from the new protection regime: How to identify a ‘trade secret’ in order to properly manage them? Should a company organize a trade secret inventory? What ‘reasonable steps’ to implement to benefit from the new regime? Is raising awareness among employees a must to be protected? What impact on HR processes?

Trade secrets are an asset that can be transferred and monetized. An overview of trade secrets valuation principles will usefully complement this presentation in order to highlight how a strong trade secret management and protection strategy can help an organization leverage the value of its confidential information.
